Advik acquires leading two-wheel brake manufacturer Powersports MTG with the help of Luther

Luther has advised ADVIK Hi-Tech Pvt Ltd (Advik), an India-based leading global manufacturer of automotive components, on the acquisition of the German brake system manufacturer Powersports MTG from the Magenwirth Group, a manufacturer of brake and clutch systems for motorbikes and other two-wheelers known under the ‘Magura’ brand.

Background

A team from Luther has supported the acquisition of all shares in Powersports MTG by an Advik subsidiary in Singapore. As a result, the Indian group of companies has secured new growth opportunities in Europe and around the world. With the acquisition from Germany, Advik has strengthened its expertise for next-generation two-wheel braking systems and enhanced its product range as well as customer base. Advik has thus taken an important step towards becoming a leading global supplier of premium braking systems for motorbikes and two-wheelers of all kinds. Luther provided Advik with comprehensive legal and tax advice on the acquisition of all shares in Powersports GmbH, including legal and tax due diligence, support during contract negotiations, signing and closing of the transaction.

The Luther team, consisting of members from the Luther India practice group and experts from Luther's automotive industry group in Germany, provided the necessary legal expertise and consulting experience across all disciplines and offices to make the transaction a success.

"This acquisition of the two-wheeler braking system of Magura, not only brings advanced technology for hydraulic braking and clutch systems to a larger part of the world, it will also add manufacturing and research and development capabilities in Germany. With 60 plus patents, this acquisition is very strategic to Advik to get access to hydraulic braking and clutch technology," said Aditya Bhartia, Managing Director at Advik Group.

With the acquisition of Powersports, Advik will benefit from advanced brake and clutch systems for on- and off-road motorbikes, including high-end and racing motorbikes. The product range includes master cylinders and calipers for motorbikes as well as angled radial, full radial and axial master cylinders, floating calipers and fixed calipers. These technologies reduce friction, improve braking feel and control over different road conditions.
