Luther advises IDT Biologika GmbH on sale of its animal health division

IDT Biologika GmbH has sold its animal health division to Ceva Santé Animale. A team of Luther Lawfirm provided comprehensive legal support for the transaction.

IDT Biologika, a company of the Klocke Group, has been produced biotechnologically produced vaccines and pharmaceuticals for its own products in the field of animal health and as a contract manufacturer in the field of human health for almost 100 years. Ceva Santé Animale is a French multinational veterinary group specialising in the research, development, production and marketing of pharmaceutical products and vaccines for livestock and pets.

Through the transaction, Ceva Santé Animale will acquire the veterinary biopharmaceutical portfolio and the related research and development activities of IDT Biologika. The latter will focus in future on the production of human medicine biotechnological vaccines and active ingredients for the national and international market, but will also continue to manufacture the animal health portfolio sold to Ceva at the Dessau site for five years.

IDT Biologika entrusted the Luther team headed by M&A partner Denis Ullrich with the sale mandate, which accompanied the complex structuring of the transaction, the extensive contract negotiations and merger control.
