Well treated: Luther advises Lavorel on sale of Bonitas Group

Luxembourg-based Lavorel Medicare S.A. has sold its holding company Lavorel Medicare Deutschland GmbH, owner of the Herforder Bonitas Group, to a company of Advent International Corporation. A team of Luther Lawfirm provided comprehensive legal support for the transaction.

The Bonitas Group is one of the largest private care providers in Germany. The market leader from 2018 is specialized in intensive care and home ventilation. The company employs almost 4,500 people and, in addition to outpatient care, operates assisted living groups for senior citizens.

The Bonitas Group with its more than thirty subsidiaries belonged to the Luxembourg Lavorel Group. The latter entrusted the Luther team around partner Dr. Oliver Kairies with the mandate, which, together with the Luxembourg Luther office, provided legal support to the seller in the pre-structuring of the transaction, the implementation of the structured bidding process, the sales contract negotiations and the subsequent antitrust proceedings.

Advent International Corporation with the portfolio company Deutsche Fachpflege Group finally prevailed as the bidder.
