Dr. Joachim Heinemann advises his clients on all matters relating to company acquisitions. He particularly represents sellers in succession situations or in connection with exit transactions. On the buyer side, he advises his clients on the acquisition of suitable target companies in order to realize long-term investments, management buyouts or private equity strategies.
In this context, Dr. Joachim Heinemann is regularly engaged by his clients to carry out due diligence investigations and to draw up all the relevant contracts in order to realize his clients' goal of a structured transaction. He guides them safely through the complex issues of each individual transaction and leads them to a tailor-made solution. In addition to the actual company purchase agreement, this also includes any re-investments by the sellers, shareholder agreements, revenue distribution agreements, trust agreements, call and put options, earn-out provisions, vesting, capital and financing measures, as well as all the accompanying documents required for this.
Dr. Joachim Heinemann has particular expertise in the reorganization and restructuring of companies, in particular by means of national and cross-border mergers, demergers and changes of legal form. Dr. Joachim Heinemann provides his clients with comprehensive support for a successful change management with the aim of increasing efficiency in the group and leveraging synergies through consolidation. In doing so, he provides comprehensive advice, together with his colleagues, in particular in the areas of labor, commercial, tax and IT law, as well as public law.
Dr. Joachim Heinemann's clients include financial investors, portfolio companies, strategic investors, entrepreneurs, family offices, founders and managers.
Dr. Joachim Heinemann studied law in Tübingen and Hamburg. After completing his doctorate and legal clerkship in Celle, Hamburg and Berlin, he has been working as a lawyer in the areas of M&A / Private Equity / Corporate since 2013.
Dr. Joachim Heinemann is a lecturer in commercial and corporate law at the University of Europe.
