Luther advises listed company Indus on acquisition of hidden champion in future-oriented construction industry

Cologne – The listed company Indus Holding Aktiengesellschaft has acquired 70 per cent of the partnership interests in Wirus Fenster GmbH & Co KG. The holding company once again instructed Luther Rechtsanwaltsgesellschaft to provide legal and tax advice.

Background

Indus is a listed holding company that makes long-term investments in medium-sized manufacturing companies. Luther has been working for Indus for years and, in addition to carrying out the legal and tax due diligence reviews, advised on the drafting and negotiation of the contract in this transaction. The purchase is still subject to approval by the antitrust authorities. With the acquisition of Wirus, Indus now has 48 investments in its portfolio.

Wirus is a profitable medium-sized window manufacturer based in Rietberg-Mastholte in the German district of Gütersloh and, as a hidden champion, will strengthen the construction/infrastructure segment at Indus. With around 245 employees, Wirus generated sales of approximately EUR 56 million in 2020. Christoph Ruoff, Managing Director and principal owner of Wirus since 2002, will continue to act as the partnership’s Managing Director. The Ruoff family will continue to hold 30 per cent of the partnership interests in Wirus.
