Essen/Luxembourg – Luther advised on the cross-border merger of R+V Luxembourg Lebensversicherung S.A. into R+V Lebensversicherung AG with teams in Germany and Luxembourg.
The merger was completed on 30 September 2021 by entry in the German commercial register. As part of the merger, a branch was established in Luxembourg, where the previous business of R+V Luxembourg Lebensversicherung S.A. will be continued.
Luther provided legal advice throughout the entire merger process and the establishment of the branch. The advice included aspects of corporate law, conversion law, insurance supervisory law and employment law.
With the merger, R+V is bundling its life insurance product range and will offer all products from a single source in the future. The economies of scale will improve organisational processes and strengthen R+V's future viability.
