Hanover, 19 November 2024 – The Health Care Team of Luther Rechtsanwalts-gesellschaft has once again advised Meliva GmbH on a transaction in the outpatient care market: With the acquisition of Gelenkzentrum Rhein-Main GmbH, Meliva GmbH has succeeded in acquiring three new practice locations and a private clinic in the Rhine-Main area.
Since 1 October 2024, Gelenkzentrum Rhein-Main GmbH, a specialised healthcare provider in the field of extremity surgery and orthopaedics at the Hochheim, Wiesbaden and Mainz locations, with almost 150 employees, has been part of the Meliva GmbH group. A total of almost 16 doctors, 10 of whom are highly specialised surgeons, offer the complete spectrum of conservative and, in particular, surgical orthopaedics and trauma surgery. The takeover of the individual operations by Meliva GmbH is intended to ensure stable and sustainable healthcare in the region.
With the acquisition of the joint clinic in Hochheim, also on 1 October 2024, the Meliva Joint Centre Rhine-Main now also has an independently operated private clinic for surgical outpatient and inpatient procedures. This means that Meliva GmbH has not only succeeded in expanding its local and national presence, but also in developing its interdisciplinary health network.
Luther's experienced health care team, led by transaction specialists Dr Oliver Kairies, Dr Hendrik Bernd Sehy and Dr Karina Wojtowicz, carried out the transaction for the Meliva Group, negotiated the respective transaction contracts with the various seller parties and provided comprehensive advice on the implementation of the transaction. The Luther team was also able to fully utilise its expertise in medical law and regulatory matters, particularly in connection with the complex transfer of practice structures to several medical care centres and the establishment of a cross-regional care structure (i.e. care across the regions of several associations of statutory health insurance physicians).
