The DGC Group, supported by the particular expertise of Luther Rechtsanwaltsgesellschaft in the field of distressed debt, has taken over the cyber insurer COGITANDA from insolvency by way of an asset deal.
Luther supported the German Society for Cyber Security (DGC) in its successful takeover of COGITANDA. This symbiosis has created a unique offering on the market that combines prevention, monitoring, insurance and crisis management. For the first time in Germany, a comprehensive solution is available that makes cyber attacks more difficult, minimises damage and ensures that affected systems are restored quickly.
Thanks to the takeover with the help of the Luther team, led by restructuring and insolvency experts Reinhard Willemsen and Hannah-Laura Schütte, and the transaction team led by Dr Marilen Hilbert and Katharina Müller-Ehrlichmann, COGITANDA is once again fully operational: existing contracts can be extended and new policies concluded thanks to the successful transaction. Business for customers and partners continues as usual. The acquisition increases the DGC Group to over 100 employees at its Flensburg and Cologne locations. The core team and key players of the COGITANDA Group will essentially remain in place, continuing to ensure the company's high quality and innovative strength. The law firm HEUKING, led by Prof. Dr. Georg Streit, Dr. Marc Scheunemann, Dr. Timo U. Piller, Dr. Kai Uwe Büchler and Andreas Schmitt, provided legal support for the seller.
With the acquisition of the COGITANDA Group, the DGC Group is expanding its offering and setting new standards as a cyber-tech insurer that combines protection and insurance in a unique solution. The Luther team is pleased to continue to support the development of the DGC Group.

However, following the sudden death of founder Jörg Wälder in 2023, the company ran into economic difficulties. In November 2024, the company filed for insolvency. With the takeover by DGC, the COGITANDA brand will be retained and given a new strategic direction that seamlessly combines IT security and insurance.
