Luther advises init innovation in traffic systems SE on the acquisition of DILAX from VR Equitypartner

DILAX Intelcom GmbH has been part of the init group since 6 September 2024 to further accelerate its growth through digitalisation solutions and the development of urban mobility concepts. Under the leadership of Luther, an international transaction team consisting of leading commercial law firms in six countries and jurisdictions realized the cross-border acquisition.

Background

The init group has acquired DILAX, a company specializing in hardware and software solutions for urban spaces in 30 countries. The acquisition creates new growth opportunities and promotes the digitalisation of the transport sector for more sustainable mobility concepts.

Philipp Glock (co-lead overall project), Michael Ströbel (co-lead overall project) and Dominique Kurtz (lead due diligence) acted as key advisors to init. Luther led the international PE and M&A expert team consisting of FASKEN (Canada), Wenger Vieli (Switzerland), Ramón y Cajal (Spain), Burges Salmon (UK) as well as unyer member Fidal (France) around Christine Blaise-Engel. init benefited from unyer's seamless cross-border advice and the know-how for PE and M&A transactions available in the network as well as the strong network of partner law firms.

“The acquisition of DILAX gives us access to over 300 long-standing clients and strengthens our position in the rail market in Europe and North America. At the same time, we can leverage synergies in the development of new hardware and software products,” says Dr. Ferber, CFO of init. He expects positive effects on incoming orders, sales and earnings as early as the 2024 financial year.

“The colleagues from Luther made a decisive contribution to the fact that we were able to complete the project so purposefully and quickly,” says Florian Zwoboda, in-house legal counsel of the init group.
